Directors’ Residency Requirements for Canadian Corporations

The federal Canada Business Corporations Act (the CBCA) requires that at least one-quarter of the directors of most federal corporations be resident Canadians. For provincial corporations, here is a list of the requirements:

Alberta

Directors’ residency requirements: YES
At least 1/4 of the directors of a corporation must be resident
Canadians.

British Columbia

Directors’ residency requirements: NO

Prince Edward Island

Directors’ residency requirements: NO

Ontario

Directors’ residency requirements: YES

At least 25 percent of the directors of a corporation other than a non-resident corporation shall be resident Canadians, but where a corporation has less than four directors, at least one director shall be a resident Canadian.

Manitoba

Directors’ residency requirements: YES

At least 25% of a corporation’s directors must be residents of Canada. If a corporation’s board is comprised of three or fewer directors, one of them must be a resident of Canada.

New Brunswick

Directors’ residency requirements: NO

Nova Scotia

Directors’ residency requirements: NO

Nunavut

Directors’ residency requirements: NO

Quebec

Directors’ residency requirements: NO

Saskatchewan

Directors’ residency requirements: YES

At least 25% of the directors of a corporation must be resident Canadians, but if a corporation has fewer than four directors, at least one director must be a resident Canadian.

Newfoundland and Labrador

Directors’ residency requirements: YES

At least 25% of the directors of a corporation shall be resident Canadians*.

Northwest Territories

Directors’ residency requirements: NO
